End User License Agreement (EULA)

1. License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and AirCrew24 ("Company", "we", "us", or "our") for the AirCrew24 mobile application software ("Software" or "App") and any associated documentation.

BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.

2. Grant of License

2.1 License Grant

Subject to your compliance with this Agreement and payment of applicable subscription fees, AirCrew24 grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the Software on your personal iOS devices
• Use the Software for your personal, non-commercial pilot logbook purposes
• Access and use the Software features included in your subscription plan

2.2 License Restrictions

You may NOT:

• Copy, modify, or create derivative works of the Software
• Reverse engineer, disassemble, or decompile the Software
• Remove any proprietary notices or labels from the Software
• Distribute, sublicense, lease, rent, or lend the Software
• Use the Software for commercial aviation operations without express permission
• Share your account credentials with others
• Use the Software to violate any laws or aviation regulations
• Attempt to gain unauthorized access to any portion of the Software
• Use the Software to create competing products or services

3. Ownership and Intellectual Property

3.1 Software Ownership

The Software, including all intellectual property rights therein, is and shall remain the sole and exclusive property of AirCrew24. This Agreement does not convey to you any ownership interest in or to the Software, only a limited right of use.

3.2 Your Content

You retain all rights to the flight data and content you input into the Software ("User Content"). By using the Software, you grant AirCrew24 a limited license to store, process, and sync your User Content solely for the purpose of providing the Software services to you.

3.3 Feedback

Any feedback, suggestions, or improvements you provide regarding the Software shall become the property of AirCrew24, and we may use such feedback without restriction or compensation to you.

4. Subscription Terms

4.1 Subscription Required

The Software requires an active subscription for full functionality. Subscription options include:

• Monthly subscription: AED 29.99 per month
• Annual subscription: AED 249.99 per year

4.2 Payment and Renewal

• All payments are processed through Apple App Store
• Subscriptions automatically renew unless cancelled
• Prices are subject to change with notice
• No refunds for partial subscription periods

4.3 Free Trial

We may offer a free trial period at our discretion. At the end of the free trial, you will be automatically charged unless you cancel before the trial ends.

5. Data and Privacy

5.1 Data Storage

Your flight data is stored:

• Locally on your device using encrypted storage
• In your personal iCloud account when sync is enabled
• We do not have access to your iCloud data

5.2 Privacy

Your use of the Software is also governed by our Privacy Policy, which is incorporated by reference into this Agreement.

6. Aviation-Specific Terms

6.1 Not a Replacement for Official Records

IMPORTANT NOTICE: The Software is intended as a supplementary tool and does NOT replace official pilot logbooks required by aviation authorities. You are solely responsible for maintaining official records as required by your local aviation regulations.

6.2 Accuracy of Information

While we strive for accuracy, you acknowledge that:

• Currency calculations are for reference only
• You must verify all calculations meet regulatory requirements
• We are not responsible for errors in calculations or data entry
• You must comply with all applicable aviation regulations

6.3 No Aviation Advice

The Software does not provide aviation advice, flight planning services, or replace professional aviation judgment. Always consult official sources and qualified aviation professionals for operational decisions.

7. Updates and Modifications

7.1 Software Updates

We may provide updates, upgrades, bug fixes, and other modifications to the Software. You agree that we may automatically download and install such updates on your device.

7.2 Feature Changes

We reserve the right to modify, suspend, or discontinue any feature of the Software at any time. We will notify you of significant changes that may affect your use of the Software.

8. Disclaimers and Limitations

8.1 Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIRCREW24 SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or use
• Business interruption
• Personal injury or property damage related to your use of the Software
• Any damages resulting from reliance on the Software

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8.3 High Risk Activities

The Software is not designed or intended for use in high-risk activities where failure could lead to death, personal injury, or severe physical or environmental damage. You assume all risks associated with such use.

9. Indemnification

You agree to indemnify, defend, and hold harmless AirCrew24 and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including attorney's fees) arising from:

• Your use or misuse of the Software
• Your violation of this Agreement
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Your User Content

10. Termination

10.1 Termination by You

You may terminate this Agreement at any time by deleting the Software and cancelling your subscription through the App Store.

10.2 Termination by Us

We may terminate this Agreement immediately if you:

• Violate any provision of this Agreement
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Use the Software in a manner that could damage our reputation

10.3 Effect of Termination

Upon termination:

• Your license to use the Software immediately ceases
• You must delete all copies of the Software
• You may export your data before deletion
• Provisions that by their nature should survive will remain in effect

11. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.

12. U.S. Government Rights

If you are a U.S. Government end user, the Software is a "Commercial Item" as defined at 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," and is provided with only those rights as are granted to all other end users.

13. Governing Law and Disputes

13.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising under this Agreement shall be resolved through:

1. Good faith negotiations
2. Mediation in Dubai, UAE
3. If mediation fails, binding arbitration under UAE law

13.3 Jurisdiction

You consent to the exclusive jurisdiction of the courts located in Dubai, UAE for any legal proceedings.

14. Apple-Specific Terms

For iOS users, you acknowledge that:

• This Agreement is between you and AirCrew24, not Apple
• Apple has no obligation to provide maintenance or support services
• Apple is not responsible for any product claims or liabilities
• In the event of any failure to conform to warranty, you may notify Apple for refund of the purchase price
• Apple is not responsible for addressing claims relating to the Software
• Apple is a third-party beneficiary with the right to enforce this Agreement
• You represent that you are not located in a U.S. embargoed country or on any prohibited party list

15. General Provisions

15.1 Entire Agreement

This Agreement, along with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and AirCrew24 regarding the Software.

15.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in full effect.

15.3 Waiver

No waiver of any provision shall be effective unless in writing.

15.4 Assignment

You may not assign this Agreement without our prior written consent. We may assign this Agreement without restriction.

15.5 Force Majeure

Neither party shall be liable for delays or failures due to causes beyond their reasonable control.
